1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Micalytics website, platform, and associated services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree, you must not use the Service.

2. Who We Are

Micalytics (“we”, “us”, “our”) provides automated tools for:

• generating MiCA-compliant white paper drafts
• producing machine-readable iXBRL output
• validating documents against ESMA taxonomy rules
• supporting regulatory workflows

Micalytics is not a law firm and does not provide legal advice.

3. Eligibility

You may use the Service only if:

• you are at least 18 years old, and
• legally capable of forming a binding contract.

If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation.

4. Nature of the Service

Micalytics provides automated document generation and validation tooling. You acknowledge that:

• generated output may contain errors or omissions
• the platform does not guarantee regulatory or legal compliance
• you must review all output with qualified legal counsel
• national competent authorities may interpret MiCA rules differently

You are solely responsible for all decisions made using Micalytics.

5. No Legal Advice

Nothing provided by Micalytics constitutes legal, regulatory, or financial advice. You agree that you will not interpret any output, suggestion, or validation result as legal guidance.

6. User Responsibilities

You agree to:

• provide accurate and complete information
• review all generated output
• comply with applicable laws and regulations
• maintain confidentiality of your login credentials
• not misuse or attempt to disrupt the Service

You must not upload unlawful, harmful, or infringing content.

7. Content You Provide

You retain ownership of all content, text, drafts, and data you submit (“User Content”).

By using the Service, you grant us a limited, revocable, non-exclusive licence to process User Content solely for:

• generating white papers
• validating iXBRL
• improving platform accuracy
• providing support or debugging
• complying with legal obligations

We do not claim ownership over your documents. We do not use User Content to train public AI models. We do not sell or share User Content with third parties, except as necessary for hosting or legal compliance.

8. Outputs and Accuracy

The Service generates outputs automatically. We do not guarantee that:

• outputs are accurate or complete
• they comply with MiCA, ESMA, or national laws
• regulators will accept them
• validations capture every legal requirement
• content is up to date with the latest guidance

All outputs are provided on an “as is” and “as available” basis. You are solely responsible for the final content.

9. Plans, Pricing & Payments

If pricing is provided:

• all fees are listed in GBP or EUR
• taxes may apply depending on your jurisdiction
• billing may be recurring (subscription)
• fees are non-refundable unless legally required

We may change pricing with reasonable notice. If using early access or beta versions, features may change at any time.

10. Acceptable Use

You agree not to:

• reverse engineer, decompile, or copy the Service
• attempt to bypass or disable security features
• submit harmful, illegal, or malicious content
• use the Service to create competing products
• overload, attack, or disrupt the platform

We reserve the right to suspend accounts that violate these Terms.

11. Intellectual Property

All intellectual property rights in the Service (software, templates, validation logic, UI, branding, etc.) belong to Micalytics. You may not use, copy, or exploit any part of the Service except as expressly permitted under these Terms.

12. Termination

We may suspend or terminate your access if:

• you violate these Terms
• we detect fraudulent or abusive behaviour
• we discontinue the Service

You may stop using the Service at any time. On termination, we may delete your account and associated data, subject to legal obligations.

13. Disclaimer of Warranties

To the fullest extent permitted by law:

• the Service is provided “as is”
• we disclaim all warranties, express or implied
• we do not guarantee regulatory acceptance
• we do not guarantee uninterrupted or error-free use

14. Limitation of Liability

To the fullest extent permitted by law:

• Micalytics is not liable for any indirect, consequential, or special damages
• we are not liable for loss of profits, business, data, or opportunities
• our total liability is limited to the amount you paid in the last 12 months (or £0 for free users)

You acknowledge that automated document generation carries inherent risks.

15. Data Protection

We process personal data in accordance with our Privacy Policy, which forms part of these Terms.

16. Third-Party Services

Micalytics may integrate with third-party services such as cloud providers, email services, or analytics tools. We are not responsible for their actions or failures.

17. International Use

You are responsible for ensuring that use of the Service complies with local laws and regulations in your jurisdiction.

18. Changes to the Terms

We may update these Terms from time to time. The latest version will always be available on this page. Continued use of the Service constitutes acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of:

• England and Wales (if you are located outside the EU), or
• the European Union (if applicable under GDPR jurisdiction)

Any disputes shall be handled by the competent courts of London, unless otherwise required by law.
